I've seen this reaction as well, IF you don't clean out your old rulebases
before/after the upgrade. Cleaning out old rulebases should solve the problem.

After a recent upgrade from 4.1 sp5 to NG FP2, our firewall is running like
a dog. Takes an age to load the rules and even longer to install a policy.
Email takes forever to be delivered. Many days in some cases. I can boil a
kettle faster than installing a policy.
Anyone have any ideas why.
We are running on NT4 sp6a, PIII 450 and 256mb ram.
