I upgraded in the exact way. What I did was do a step upgrade to 4.0 first and then went from 4.0 to 4.1. We have a large rulebase as well as large user db, so that was necessary. If you want to go this route, I enabled backward compatibility on all installs, and copied rulebase.fws, *.W, and objects.C. I also did a dbexport and dbimport.
