*WATCHGUARD TO ACQUIRE RAPIDSTREAM IN $48M DEAL

WatchGuard Technologies announced last week that it
will acquire
privately-held VPN and firewall technology developer
RapidStream in a cash
and stock deal worth about $48 million.

Under terms of the deal, Seattle-based WatchGuard
agreed to pay between
$17 million and $24 million in cash, depending on
certain unspecified
"events," and the balance in stock and options. A
WatchGuard spokesman
wouldn?t elaborate on specific terms of the deal or
whether any layoffs
would result from the acquisition. The deal is
expected to close early
next quarter, subject to regulatory and shareholder
approval.

WatchGuard said in a statement that the acquisition
would help broaden its
client base, particularly with small- and medium-sized
enterprises. San
Jose, Calif.-based RapidStream's flagship product, a
programmable
processor that integrates encryption, authentication
and firewall
acceleration, should nicely complement WatchGuard's
line of user
authentication, data encryption and firewall products,
industry observers
say.

According to Frank Prince, an information technology
and security business
consultant, RapidStream's technology is the "overt
reason for the
acquisition," as it could help WatchGuard speed up its
products to better
meet the needs of faster networks. He said the
acquisition is the latest
evidence of companies trying to find the right mix of
services for
security appliances to sell to small- and medium-sized
enterprises.

"That has been a trend particularly in the small- to
medium-sized
enterprise because it can raise the water level of
what is 'good'
security," said Prince, referring to the consolidation
of various services
into a single appliance.

Despite the seemingly symbiotic match, Prince said
WatchGuard faces a
significant task in successfully combining the two
businesses. These
problems include divergent corporate cultures and lack
of a coherent
structure to integrate RapidStream's technology into
the WatchGuard
product line. According to Prince, WatchGuard has a
corporate culture more
geared towards marketing and aggregating product
components, while
RapidStream's is focused on hardware technology and
performance.
