Do you want to disable it once or forever?

If you want it gone forever you can remove the following registry entry:

HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\Windows\CurrentVersion\Run\fwenc.exe

If you want to kill it once I'm told that there is a "ps" command in the NT
and 2k resource kits which behaves like the standard *nix "ps" and there is
a flag you can give it to kill a particular PID.
