Either you are going to have to tunnel to external "NATTED" addresses for every host that needs access, or change the IP scheme on one of the sides. If both sides are at vpn-1 sp1, then there is a feature called "fully overlapped encryption domains". Basically it means that if you have a 10.1.0.0 encryption domain on one side, then it has to perfectly match on the other. The setup and config goes beyond this group, but since one of your firewalls is at 4.0, it's a moot point.
